1. Acceptance of Terms
By accessing and using Veriloom, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Service Description
Veriloom provides a digital collection governance platform designed to assist teams in managing, reviewing, and coordinating digital collections and virtual drops. The platform provides tools for metadata management, quality assurance, team collaboration, and release coordination.
3. User Eligibility
You must be at least 18 years of age and capable of entering into legal agreements. If you are using this service on behalf of a company or organization, you represent that you have authority to bind that entity to these terms.
4. Acceptable Use Policy
You agree not to use Veriloom for any unlawful purposes or in any way that could harm the service, other users, or Veriloom itself. Prohibited activities include distributing malware, harassment, violating intellectual property rights, and attempting unauthorized access.
5. Intellectual Property Rights
Veriloom and its entire contents, features, and functionality are owned by Veriloom, its licensors, or other providers. Your use of the platform grants you a limited, non-exclusive, and non-transferable license. You retain ownership of content you upload to the platform.
6. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use of your account.
7. Limitation of Liability
To the maximum extent permitted by law, Veriloom shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Veriloom's total liability is limited to the amount you paid in the preceding 12 months.
8. Warranty Disclaimer
The service is provided on an "AS IS" and "AS AVAILABLE" basis. Veriloom makes no warranties regarding the service, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Service Level Agreement
Veriloom commits to maintaining 99.5% uptime for the platform on a monthly basis, measured from 00:00 to 23:59 UTC. Planned maintenance and scheduled downtime are excluded. Contact support@veriloom.io for SLA claims.
10. Payment and Billing
Fees are billed according to your selected plan. Payment is due on the date specified in your invoice. We accept standard payment methods. Failure to pay may result in service suspension.
11. Term and Termination
Your account remains active until terminated. Either party may terminate at any time with written notice. Upon termination, your data will be retained for 30 days before deletion, unless required by law to retain it longer.
12. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary information received from the other party and to use such information only for purposes of providing or using the services.
13. Indemnification
You agree to indemnify and hold harmless Veriloom, its officers, directors, employees, and agents from any claims, damages, or costs arising from your use of the service or violation of these terms.
14. Third-Party Integrations
Veriloom may integrate with third-party services. Your use of these integrations is subject to their respective terms and conditions. Veriloom is not responsible for third-party service availability or performance.
15. Dispute Resolution
Any disputes arising from these terms or your use of Veriloom shall be governed by the laws of Hong Kong. Both parties agree to attempt resolution through negotiation. Unresolved disputes shall be submitted to arbitration in Hong Kong under Hong Kong Arbitration Ordinance rules.
16. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Force Majeure
Veriloom is not liable for any failure or delay in performing its obligations under these terms when caused by circumstances beyond its reasonable control, including natural disasters, wars, pandemics, or government actions.
